These Terms & Conditions (“Terms”) govern the use of services provided by Bloom by Julie, operated by De Meyer Pathfinding Solutions, based in Geneva, Switzerland (“Company”, “we”, “us”, “our”).
By engaging our services, accessing our website, or entering into a client relationship, you agree to these Terms.
1. Scope of Services
Bloom by Julie provides consulting, advisory, and implementation support focused on establishing structured and credible business foundations.
Services may include, but are not limited to:

Business structuring and positioning

Development of frameworks, documents, and systems

Website and communication support

Go-to-market and activation guidance
The exact scope, deliverables, and timelines are defined in individual agreements, proposals, or written confirmations.
2. Engagement & Acceptance
An engagement is considered confirmed when:

A proposal is accepted (in writing or digitally), and/or
-
Payment has been made, and/or
-
Work has commenced at the client’s request
These Terms apply to all engagements unless otherwise agreed in writing.
3. Client Responsibilities
Clients are expected to:

Provide accurate and complete information

Participate in a timely and constructive manner

Review and validate deliverables when required
-
Respect agreed timelines and communication channels
The quality and effectiveness of outcomes depend on client collaboration and input.
4. Fees & Payment Terms

All fees are specified in CHF unless otherwise agreed

Payments are due via bank transfer unless stated otherwise

Payment terms (e.g. upfront, staged) are defined per engagement
Unless otherwise agreed:

Work begins upon receipt of payment

Late payments may result in delays or suspension of services
All payments are non-refundable unless explicitly agreed.
5. Cancellations & Rescheduling

Scheduled sessions (e.g. calls, workshops) require at least 24 hours’ notice to be rescheduled

Late cancellations or missed sessions may be considered delivered
For longer engagements:

Any termination or pause must be agreed in writing

Work already completed remains payable
6. Intellectual Property
All materials, frameworks, and deliverables created by Bloom by Julie remain the intellectual property of the Company unless otherwise agreed.
Clients are granted a non-exclusive, non-transferable license to use deliverables for their own business purposes.
Clients may not:

Resell, distribute, or replicate materials

Use the work for commercial training or third-party delivery

Present the framework as their own
The Seven Strokes™ framework and associated methodologies remain proprietary.
7. Confidentiality
Both parties agree to treat all shared information as confidential.
This includes:

Business information

Strategic discussions
-
Client data and materials
Confidential information may not be disclosed to third parties without prior consent, unless required by law.
8. Limitation of Liability
Services are provided with professional diligence and care.
However:

We do not guarantee specific business outcomes or results
-
We are not liable for indirect, incidental, or consequential damages
To the extent permitted by law, liability is limited to the total fees paid for the relevant engagement.
9. Independent Status
Nothing in these Terms creates a partnership, joint venture, or employment relationship.
Clients remain fully responsible for their own business decisions, operations, and outcomes.
10. Data Protection
Personal data is processed in accordance with our Privacy Policy.
By engaging our services, you acknowledge and agree to such processing.
11. Third-Party Tools
Where relevant, services may involve the use of third-party platforms (e.g. Wix, Google, Flodesk).
We are not responsible for:

Their availability or performance

Their data handling practices
Clients remain responsible for accepting and complying with third-party terms where applicable.
12. Changes to Services
We reserve the right to make reasonable adjustments to service structure, delivery format, or tools used, where necessary to maintain quality and effectiveness.
13. Governing Law & Jurisdiction
These Terms are governed by the laws of Switzerland.
Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Geneva, Switzerland.
14. Updates to These Terms
We may update these Terms from time to time.
